1. Acceptance of Terms

By accessing or using the Sukoa platform, including our website, progressive web app, and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Sukoa.

2. Eligibility

You must be at least 13 years of age to use the Service. By creating an account or using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service.

3. User Accounts

When you create an account on Sukoa, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not transfer your account to another person or use another person's account without their permission.

4. Acceptable Use

You agree not to use the Service to:

• Manipulate, falsify, or fabricate match scores or game results
• Harass, threaten, intimidate, or abuse other users
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to any portion of the Service or connected systems
• Interfere with or disrupt the operation of the Service
• Use the Service for any illegal purpose or in violation of any applicable laws or regulations
• Upload or distribute any content that is unlawful, harmful, defamatory, or obscene
• Use automated scripts, bots, or other means to interact with the Service
• Use the Service to facilitate gambling, betting, or wagering of any kind

5. User-Generated Content

The Service allows users to submit match scores, game results, player names, and other content ("User Content"). You are solely responsible for the accuracy and legality of any User Content you submit.

Sukoa does not verify, endorse, or guarantee the accuracy of any User Content. Match scores and game results displayed on the platform are submitted by users and may not reflect actual outcomes.

By submitting User Content, you grant Sukoa a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and improving the Service.

6. Intellectual Property

The Service and its original content, features, functionality, software, design elements, trademarks, and branding are and will remain the exclusive property of Sukoa and its licensors. The Service is protected by copyright, trademark, and other applicable laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on the Service or any part thereof without our prior written consent.

7. Subscriptions and Payments

Sukoa may offer optional premium subscriptions and paid features. If you purchase a subscription, you agree to pay the applicable fees and any taxes. Subscription terms, pricing, and cancellation policies will be presented to you at the time of purchase.

We reserve the right to change subscription pricing upon reasonable notice. Price changes will not affect active subscription periods that have already been paid for.

8. Service Availability

We strive to maintain the availability of the Service, but we do not guarantee uninterrupted, error-free, or secure access. Sukoa reserves the right to modify, suspend, or discontinue any feature or functionality of the Service at any time, with or without notice, and without liability to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUKOA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUKOA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Sukoa and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Account Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

14. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. When we make changes, we will revise the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

16. SMS Messaging Program

Sukoa operates an SMS notification program (the "Messaging Program") to send tournament-related communications to users who opt in.

Program Name: Sukoa

Program Description: By opting in, you agree to receive SMS notifications from Sukoa regarding your tournament matches, schedule updates, results, and related service communications.

Message Frequency: Message frequency varies based on your tournament activity. You may receive approximately 4 messages per active tournament event.

Rates: Message and data rates may apply. Check with your mobile carrier for details.

Support: Reply HELP to any Sukoa message for assistance, or contact us at support@sukoa.app.

Opt-Out: Reply STOP to any Sukoa message to unsubscribe at any time. After opting out, you will receive one final confirmation message. No further messages will be sent unless you re-enroll.

Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages.

A1. Scope of This Addendum

This Addendum applies to all users who create a tournament with an entry fee (Organizers), register and pay an entry fee to participate (Participants), or receive prize payouts as a result of tournament performance (Winners). It applies to pool and tennis tournaments, as well as any future sport categories with paid tournament functionality.

A2. Sukoa's Role

Sukoa is a tournament management platform, not a payment processor, escrow service, or gambling operator. Sukoa facilitates the collection of entry fees and disbursement to Organizers through Stripe. Sukoa does not hold, manage, or guarantee prize funds beyond the technical facilitation of payment collection.

The obligation to pay prize winnings rests solely with the Organizer. By creating a paid tournament, Organizers accept full responsibility for fulfilling all prize obligations to participants.

A3. Entry Fees

3.1 Fee Setting

Organizers may set entry fees at their sole discretion. Sukoa does not regulate the amount charged.

3.2 Fee Collection

Entry fees are collected at registration via Stripe. Participants are not confirmed until payment is processed, unless the Organizer manually waives the fee.

3.3 Fee Waivers

Organizers may waive entry fees for individual participants. Waived participants are not entitled to a refund if the tournament is cancelled.

3.4 Stripe Processing Fees

Stripe transaction fees apply to all entry fee payments and are deducted before disbursement. Sukoa does not absorb or reimburse Stripe processing fees.

A4. Refunds and Cancellations

4.1 Participant-Initiated Withdrawal

Entry fees are non-refundable once processed, unless the Organizer expressly approves a refund prior to the bracket being generated and locked. Refund requests must be directed to the Organizer, not Sukoa.

4.2 Organizer-Cancelled Tournaments

If an Organizer cancels before play begins, the Organizer is responsible for issuing refunds to all paid participants. Sukoa is not liable for any refunds.

4.3 Platform Issues

In the event a tournament cannot be completed due to a Sukoa technical failure, Sukoa's liability is limited to subscription fees paid by the Organizer and does not extend to participant entry fees.

A5. Prize Pools and Payouts

5.1 Prize Pool Calculation

Total Prize Pool = (Entry Fee × Number of Paid Participants) + Venue Contribution (if any). Payout splits default to 60% (1st), 30% (2nd), and 10% (3rd) unless configured otherwise by the Organizer.

5.2 Venue Contributions

Venue contributions are entered manually by the Organizer and are not collected or verified by Sukoa. Sukoa is not responsible for ensuring stated contributions are provided.

5.3 Organizer Payout

Upon tournament completion, collected entry fees (net of Stripe fees) are disbursed to the Organizer's connected Stripe account. The Organizer is solely responsible for distributing prize winnings to Winners. Failure to do so may result in suspension or termination of the Organizer's account.

5.4 Payout Disputes

Disputes regarding prize payouts are between the Participant and the Organizer. Sukoa is not a party to payout disputes. Participants may report bad-faith Organizers to support@sukoa.app.

A6. Stripe Connect

To receive entry fee disbursements, Organizers must connect a Stripe account via Stripe Connect and agree to Stripe's Connected Account Agreement. Sukoa is not responsible for any Stripe account restrictions or holds. Organizers are responsible for all tax obligations arising from collected entry fees and prize pools.

A7. Prohibited Uses

• Using entry fee features where collecting fees for competitive play is prohibited by law
• Misrepresenting the prize pool amount to participants
• Collecting entry fees with no intention of running the tournament or distributing winnings
• Using the platform to facilitate illegal gambling
